16. Intellectual Property of Generated Content
The content generated by RooftopsAI ("Generated Content") remains the intellectual property of Kingdom AI, LLC. However, we grant you a non-exclusive, non-transferable, revocable license to use the Generated Content solely for your own personal or business purposes, in accordance with these Terms of Service.
Some features of Rooftops AI are available on a subscription basis (“Subscription(s)”). Subscriptions are billed in advance on a recurring, periodic basis (“Billing Cycle”). The Billing Cycle is either monthly or annually, based on the subscription plan you select.
Unless canceled by you or Kingdom AI, LLC, your Subscription will automatically renew at the end of each Billing Cycle. You may cancel your Subscription renewal via your online account management page or by contacting our customer support team.
A valid payment method, such as a credit card (or other method allowed via Stripe), is required for Subscription payments. You must provide accurate and complete billing information, including your full name, address, state, zip code, and valid payment method information. By providing such information, you authorize Kingdom AI, LLC to charge all Subscription fees to your chosen payment method.
If your payment fails, our processor, Stripe, will make multiple attempts to successfully process payment for your subscription. If automatic billing fails, Kingdom AI, LLC will issue an electronic invoice requiring you to manually fulfill the payment within a specified due date.
Kingdom AI, LLC may offer a Free Trial Subscription for a limited period (“Free Trial”).
You may need to provide billing information to start the Free Trial. You will not be charged until the Free Trial expires.
Unless canceled, your Subscription will automatically begin when the Free Trial expires, and you will be charged the applicable Subscription fees.
Kingdom AI, LLC reserves the right to modify or cancel the Free Trial at any time without notice.
Kingdom AI, LLC may change Subscription fees at any time, effective at the end of your current Billing Cycle.
Continued use of RooftopsAI after a fee change takes effect constitutes your agreement to the new Subscription fee.
Refunds are available for subscriptions within one day (24 hours) of the initial payment date and time.
"Beta Customers" refers to users who have been granted access to the Service for a limited time at no cost for the purpose of testing and providing feedback on pre-release features and functionalities. Beta Customers may receive coupon codes to access the Service at no charge during the beta period.
The beta period for Beta Customers is for a limited time, typically lasting for 3 months, unless otherwise specified by Kingdom AI, LLC. The beta period may be extended or shortened at the sole discretion of Kingdom AI, LLC.
Access to certain features of the Service may be limited or restricted during the beta period. These limitations will be communicated to Beta Customers when they gain access to the Service or as the limitations occur.
Participation as a Beta Customer is contingent upon providing timely feedback about the Service when requested by Kingdom AI, LLC. This feedback may include, but is not limited to, reporting bugs, suggesting improvements, and participating in surveys or focus groups.
At the end of the beta period, Beta Customers may lose access to the Service or be transitioned to a paid plan. Kingdom AI, LLC reserves the right to terminate a Beta Customer's access to the Service at any time for any reason, including but not limited to failure to provide required feedback.
The Service is provided to Beta Customers on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

22. Business Transfers and Company Restructuring
22.1 Assignment and Transfer: You acknowledge and agree that the Service, including all associated intellectual property and customer agreements, may be sold, transferred, or assigned to another entity as part of a merger, acquisition, sale of assets, consolidation, restructuring, or any other change in control of Kingdom AI, LLC or its assets.
22.2 Continuity of Service: In such transactions, Kingdom AI, LLC will make reasonable efforts to ensure that the entity to which we transfer our assets will use the personal information you have provided to us in a manner that is consistent with our Privacy Policy and these Terms.
22.3 User Rights and Obligations: Upon transfer, the new entity will assume the rights and obligations as described in these Terms, and you agree to continue to be bound by these Terms as they may be modified by the new entity. Your rights under these Terms will not be reduced without your consent.
22.4 Data Handling: The handling of user data in the event of a business transfer will be subject to the Privacy Policy in effect at the time of the transfer.
22.5 Liability: In the event that Kingdom AI, LLC or its assets are acquired by or merged with a third-party entity, or in the event of bankruptcy or a comparable event, we reserve the right to transfer or assign the information that we have collected as part of that merger, acquisition, sale, or other change of control.
22.6 Governing Law: All transfers of business, including those that might occur in the event of a sale or restructuring, will be governed by the laws of the State of Tennessee, without regard to its conflict of laws principles.

23. Fair Usage Policy
23.1 Usage Limits: While Rooftops AI offers the ability to generate reports, this feature is subject to a Fair Usage Policy to prevent abuse and ensure the sustainability of our services. Users are allowed to generate up to 300 reports per month per paid "seat" under our standard Pro and Team subscription plans. Additional seat licenses can be purchased.
23.2 Monitoring and Enforcement: We actively monitor the usage of our services to identify and manage excessive use. If we detect usage that exceeds the normal range by a significant margin, we may apply restrictions to your account. These restrictions could include temporary suspension of report generation capabilities or conversion to a custom plan that better suits high-volume needs.
23.3 Consequences of Excessive Use: Users who consistently generate a volume of reports that exceeds our Fair Usage Policy may be subject to additional charges or modification of their service plan. We will provide notifications in advance to discuss potential solutions before any changes are made.
23.4 Adjustments to Policy: Rooftops AI reserves the right to modify the Fair Usage Policy at any time to better reflect the operational needs and the fairness towards all users. Such modifications will be communicated through updates to these Terms of Service.
